How can customer diligence reduce false positives?
Speak with customers selected by the company and, where appropriate, independently identified users or prospects. Ask what triggered the purchase, who approved it, which alternative was replaced, how long implementation took, how value is measured, what would cause cancellation, and whether the customer would expand usage at the current price. Compare the answers with contract terms and actual product usage. What should the financing plan prove?

The cap table and legal terms determine what percentage the investor truly owns, how that ownership can change, who controls key decisions, and how exit proceeds are allocated across securities.
Rebuild the fully diluted cap table rather than relying on a summary slide. Include issued common and preferred shares, granted and ungranted options, warrants, convertible notes, SAFEs, side letters, promised equity, and the post-financing option pool. Initial ownership equals the investment divided by post-money valuation for a simple priced round, but the economic result depends on the complete capitalization and terms. Change one driver at a time, then combine adverse changes. The highest-value sensitivities are usually exit revenue, exit multiple, time to exit, total future capital, investor participation in future rounds, option-pool growth, and preference seniority. A deal that only works with a top-decile exit multiple, no financing delay, and perfect pro rata access is fragile. Do not convert an integrity problem into a valuation discount
A lower price does not solve fabricated revenue, hidden related-party transactions, undisclosed side agreements, missing intellectual-property assignments, altered documents, or deliberate misrepresentation.
