What Changes When Buying an Existing Mastering Studio?
An acquisition replaces construction risk with diligence risk. The buyer may obtain a tuned room, equipment, lease position, brand, website traffic, client relationships, credits, and historical revenue. But the earnings may depend almost entirely on the seller's ears, reputation, personal relationships, and willingness to remain during transition. That concentration can make reported profit difficult to transfer.
Normalize the financial statements by replacing the seller's compensation with market-rate engineer pay, removing personal expenses, adding missing maintenance capital, and separating one-time projects from recurring clients. Review at least three years of tax returns, monthly revenue by client, project and genre mix, realized price, revision burden, accounts receivable, deposits, deferred work, equipment service history, software-license transferability, lease terms, and client concentration.
Acquisition diligence questions
- How much revenue came from the top five clients, and are those relationships transferable?
- What portion of work was performed personally by the seller?
- Which equipment needs replacement within 24 months?
- Are deposits, prepaid projects, archives, and unfinished revisions recorded correctly?
- Will the lease permit assignment, continued extended hours, and existing acoustic improvements?
- Does the purchase agreement clearly address name, credits, masters, client files, privacy, and transition services?
Value should be tied to transferable cash flow, not replacement cost alone. A $150,000 room can be worth much less if it has weak demand or a nontransferable lease, and much more if it has durable label relationships, a recognized brand, stable margins, and an engineer team that remains after closing. SBA notes that 7(a) financing may support complete or partial changes of ownership, but lenders still expect reasonable repayment capacity and buyer equity.
Final investment testWhether building or buying, the best studio is not the room with the most expensive chain. It is the operation that converts trusted listening decisions into repeatable client value, protects engineer time, collects cash promptly, funds replacement needs, and produces a return after paying fair labor.
